1. ACCEPTANCE OF TERMS

By accessing, registering for, or using the BotEngine App platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with any additional terms and policies referenced herein. If you do not agree to these terms, you must immediately cease using our services.

These Terms of Service constitute a legally binding agreement between you (the "User," "you," or "your") and BotEngine App ("BotEngine App," "we," "us," or "our"). Your continued use of the platform following any modifications to these terms constitutes acceptance of those changes.

By using our services, you represent and warrant that you have the legal capacity to enter into this agreement and that you are at least 18 years of age or the age of majority in your jurisdiction.

2. SERVICE DESCRIPTION

BotEngine App provides an all-in-one AI messaging and lead automation platform designed to streamline business communications and marketing workflows. Our services include, but are not limited to:

Unified Messaging Platform: A centralized dashboard that integrates multiple messaging channels, enabling users to manage conversations across various platforms from a single interface. This service facilitates seamless communication with customers, leads, and prospects across email, SMS, social media, and other messaging applications.

AI Lead Automation: Intelligent automation tools powered by artificial intelligence that help identify, qualify, nurture, and convert leads. These features include automated responses, lead scoring, conversation routing, chatbot functionality, and workflow automation designed to optimize sales and marketing processes.

Analytics & Performance Tracking: Comprehensive reporting and analytics tools that provide insights into messaging performance, lead conversion rates, response times, engagement metrics, and campaign effectiveness. These features enable data-driven decision-making and continuous improvement of communication strategies.

BotEngine App reserves the right to modify, suspend, or discontinue any aspect of the services at any time, with or without notice. We may impose limits on certain features or restrict access to parts or all of the services without liability.

The services are provided on an "as available" basis, and we do not guarantee uninterrupted access or error-free operation. Scheduled maintenance, updates, or unforeseen technical issues may temporarily affect service availability.

3. USER OBLIGATIONS

As a user of BotEngine App, you agree to comply with the following obligations:

Account Registration: You must provide accurate, current, and complete information during registration and maintain the accuracy of this information throughout your use of the services. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

Authorized Use: You agree to use the services only for lawful purposes and in accordance with these Terms of Service. You shall not use the platform to transmit, distribute, or store material that is unlawful, threatening, defamatory, obscene, or otherwise objectionable.

Prohibited Activities: You shall not engage in any of the following:

- Violating any applicable local, state, national, or international law

- Sending unsolicited messages, spam, or engaging in any form of harassment

- Impersonating any person or entity or falsely stating or misrepresenting your affiliation

- Interfering with or disrupting the services or servers or networks connected to the services

- Attempting to gain unauthorized access to any portion of the platform or related systems

- Using automated scripts or bots to access the services without express written permission

- Reverse engineering, decompiling, or disassembling any component of the platform

- Collecting or harvesting personal information from other users without consent

- Transmitting viruses, malware, or any other malicious code

Compliance with Anti-Spam Laws: Users must comply with all applicable anti-spam regulations, including but not limited to the CAN-SPAM Act, GDPR, TCPA, and CASL. You are solely responsible for obtaining proper consent before sending messages to recipients and for providing appropriate opt-out mechanisms.

Data Protection: You are responsible for ensuring that any personal data you collect, process, or store through our services complies with applicable data protection and privacy laws. You must obtain all necessary consents and permissions from end users before collecting their information.

Content Responsibility: You retain ownership of all content you submit, transmit, or display through the services. However, you grant BotEngine App a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content solely for the purpose of providing the services.

Resource Usage: You agree to use the services in a manner that does not place excessive burden on our infrastructure. We reserve the right to impose reasonable usage limits or throttle services if your usage patterns negatively impact system performance or other users.

4. APPOINTMENT SCHEDULING AND CANCELLATIONS

Where applicable, certain features of BotEngine App may include appointment scheduling functionality for consultations, demonstrations, training sessions, or support services.

Scheduling: Users may schedule appointments through the platform's scheduling interface or by contacting us directly at Max.Rivera@botengineapp.co. All appointments are subject to availability and confirmation by BotEngine App.

Confirmation: Upon scheduling an appointment, you will receive a confirmation via email or through the platform. It is your responsibility to verify the date, time, and details of the appointment.

Rescheduling: If you need to reschedule an appointment, you must provide notice at least 24 hours in advance. Rescheduling requests can be submitted through the platform or by contacting us at the email address provided above.

Cancellation Policy: Cancellations must be made at least 24 hours before the scheduled appointment time. Late cancellations or no-shows may result in forfeiture of the appointment slot or, where applicable, cancellation fees as specified in your service agreement.

BotEngine App's Right to Cancel: We reserve the right to cancel or reschedule appointments due to unforeseen circumstances, technical issues, or unavailability of personnel. In such cases, we will make reasonable efforts to notify you promptly and offer alternative scheduling options.

Missed Appointments: If you fail to attend a scheduled appointment without prior notice, it will be considered a no-show. Repeated no-shows may result in restrictions on future scheduling privileges.

5. PAYMENT TERMS

Access to BotEngine App services may require payment of subscription fees, usage-based charges, or one-time fees as outlined in your selected service plan.

Subscription Plans: BotEngine App offers various subscription tiers with different features, usage limits, and pricing. The specific terms of your subscription, including pricing, billing frequency, and included features, will be presented at the time of purchase.

Payment Authorization: By providing payment information, you authorize BotEngine App to charge the applicable fees to your designated payment method. You represent and warrant that you have the legal right to use any payment method provided.

Billing Cycles: Subscription fees are billed on a recurring basis according to your selected billing cycle (monthly, annually, or otherwise as specified). Billing occurs at the beginning of each cycle, and payment is due immediately upon invoice.

Automatic Renewal: Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew for an additional equivalent period at the then-current rate.

Price Changes: BotEngine App reserves the right to modify pricing at any time. Price changes for existing subscriptions will take effect at the beginning of the next billing cycle following notice to you. Continued use of the services after a price change constitutes acceptance of the new pricing.

Usage-Based Charges: Certain services or features may incur additional usage-based charges beyond your base subscription fee. These may include but are not limited to overage fees for messages sent, API calls, storage, or premium features. Usage-based charges will be billed monthly in arrears.

Payment Methods: We accept payment via credit card, debit card, and such other payment methods as we may make available. You must keep your payment information current and accurate.

Failed Payments: If a payment fails or is declined, we may suspend or terminate your access to the services until payment is received. You remain responsible for any uncollected amounts, and we may charge fees for failed payment processing.

Refund Policy: Subscription fees are generally non-refundable except as required by law or as expressly stated in your service agreement. Refund requests will be evaluated on a case-by-case basis at our sole discretion.

Taxes: All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including value-added tax, sales tax, use tax, and withholding tax. You are responsible for all such taxes except those based on our net income.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, BotEngine App, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the services.

This limitation includes but is not limited to damages for:

- Loss of profits, revenue, data, or business opportunities

- Service interruptions or system failures

- Unauthorized access to or alteration of your transmissions or data

- Statements or conduct of any third party on the services

- Any other matter relating to the services

BotEngine App's total aggregate liability arising out of or relating to these Terms of Service or the services shall not exceed the amount paid by you to BotEngine App in the twelve months preceding the claim or one hundred dollars ($100), whichever is greater.

No Liability for Third-Party Services: The services may integrate with or provide access to third-party applications, platforms, or services. BotEngine App is not responsible for the availability, accuracy, content, or functionality of such third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

User Content: BotEngine App is not responsible for user-generated content transmitted through the platform. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any user content.

System Limitations: BotEngine App shall not be liable for delays, failures, or interruptions in service delivery caused by factors beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Data Loss: While we implement reasonable backup procedures, BotEngine App is not liable for any loss or corruption of data, or for any costs of recovering such data. You are responsible for maintaining independent backups of your data.

These limitations apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, even if BotEngine App has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

7. WARRANTY DISCLAIMERS

THE SERVICES PROVIDED BY BOTENGINE APP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permissible under applicable law, BotEngine App disclaims all warranties, express or implied, including but not limited to:

- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

- Warranties that the services will be uninterrupted, timely, secure, or error-free

- Warranties regarding the accuracy, reliability, or completeness of any content, information, or data obtained through the services

- Warranties that defects will be corrected or that the services are free of viruses or harmful components

No Guarantee of Results: BotEngine App does not warrant or guarantee any specific results from using the services, including but not limited to lead generation, conversion rates, revenue increases, or improved business performance. Success depends on numerous factors beyond our control, including your business practices, market conditions, and implementation strategies.

AI Functionality: The artificial intelligence features provided through our services are based on algorithms and machine learning models that continuously evolve. While we strive for accuracy, we do not guarantee that AI-generated responses, recommendations, or automation will always be accurate, appropriate, or error-free. Users are responsible for reviewing and monitoring AI-generated content before it is distributed to customers or leads.

Integration Disclaimer: BotEngine App integrates with various third-party platforms and services. We do not warrant that such integrations will remain available, functional, or compatible. Third-party platforms may change their APIs, terms of service, or functionality at any time, which may affect the operation of our services.

Security Disclaimer: While we implement industry-standard security measures, no method of transmission over the internet or electronic storage is completely secure. We cannot guarantee absolute security of your data or prevent all unauthorized access.

Professional Advice: The services are not intended to provide legal, tax, accounting, financial, or professional advice. Any information provided through the platform is for general informational purposes only and should not be relied upon as a substitute for professional consultation.

Testing Responsibility: You are responsible for testing the services adequately before deploying them in production environments or using them for critical business operations. BotEngine App is not responsible for damages resulting from inadequate testing or verification.

Some jurisdictions do not allow disclaimers of implied warranties, so some of the above disclaimers may not apply to you. You
